1. Acceptance of Terms

Welcome to Scopture, a product of Ducflair, offering a software solution designed for engineering project review and coordination. By accessing or using Scopture’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“ToS”). If you do not agree with any part of these terms, you are prohibited from accessing or using our services.


2. Description of Service

Scopture is an engineering project review and coordination platform offering features such as:

  • Engineering project review and coordination: Centralize review workflows and technical discussion across project teams;
  • Interactive workspace: Manage interactive drawings, models, files, notes, issues, and comments;
  • Project sharing and collaboration: Share project data and collaborate securely with team members and external stakeholders;
  • Optional connected tools and integrations: Connect third-party applications, assistants, or tools using standard protocols such as the Model Context Protocol (MCP).

Scopture is accessible across supported web browsers and devices for individuals, teams, and organizations.

Connected Services and MCP Integrations

Scopture may allow you to connect your account to compatible third-party applications and assistants through the Model Context Protocol or another supported integration mechanism. Subject to the permissions you grant, a connected service may retrieve information from or perform actions in your Scopture account at your instruction.

Third-party services are governed by their own terms and privacy policies. Scopture is not responsible for their availability, model-generated responses, or independent data-processing practices, except where liability cannot be excluded under applicable law.

You may disconnect or revoke an integration using the controls made available by the connected service, Scopture, or both. Revocation prevents future authorized access but does not reverse actions already completed or delete information separately retained by either service.


3. Registration and Account Security

Account Creation

To access certain features of Scopture, you must register and create an account. You agree to:

  1. Provide accurate, current, and complete information during registration;
  2. Maintain the confidentiality of your account credentials;
  3. Be at least 13 years of age. If you are under 13, you may not create an account or use Scopture’s services.

Account Security and Authorized Actions

You are responsible for actions that you authorize through your account, including actions requested through a connected application or assistant. You should review requested permissions and any available confirmation before approving actions that modify, export, share, or delete content.

This does not limit Scopture’s responsibility to maintain appropriate security controls, enforce granted permissions, and reject invalid or revoked credentials.

Scopture reserves the right to suspend or terminate accounts found to contain false or misleading information or those that engage in prohibited activities.


4. Use License

License Terms

Scopture operates as a closed-source platform leveraging an open-source product called duc, also developed by Ducflair. Your access to Scopture is governed by these Terms and is limited to personal or professional use within the scope of the provided services.

Restrictions

You may not:

  • Modify, reverse-engineer, or distribute Scopture’s software;
  • Use the platform in any way that infringes on intellectual property rights or violates applicable laws.

Additionally, when using connected services or integrations, you may not:

  • Access or attempt to access another person’s account, content, or resources without authorization;
  • Bypass permissions, access controls, rate limits, confirmations, or other security measures;
  • Submit, request, or expose passwords, API keys, authentication tokens, one-time codes, or similar authentication secrets through integration input;
  • Interfere with the security or operation of an integration or use it in violation of applicable law or the connected provider’s applicable terms.

5. Modifications to Service

Scopture reserves the right to modify, suspend, or discontinue any part of its services at any time without prior notice. While we strive to maintain service availability and consistency, we are not liable for any disruptions or changes.


6. Termination

Termination by Scopture

Scopture may suspend or terminate your account or restrict your access to the service at its sole discretion if:

  • You breach these Terms of Service;
  • Your activities violate applicable laws or regulations.

Termination by You

You may terminate your account at any time by contacting us. Upon termination, your data will be handled according to our Privacy Policy.

Data Retention and Deletion

Following account termination, access to the account will be disabled. Personal data and project content will then be deleted or anonymized according to the timelines described in our Privacy Policy.

Certain records may be retained where required for tax, accounting, security, fraud prevention, dispute resolution, enforcement of these Terms, or other legal obligations.


7. Your Data Rights

As a user, you have specific rights regarding your personal data under the General Data Protection Regulation (GDPR). We are committed to honoring these rights, which include:

Access and Portability: You may request a copy of the personal data we hold about you in a structured, commonly used format;

Correction and Erasure: You have the right to ask us to correct inaccurate information or to delete your personal data (the “Right to be Forgotten”), subject to our legal retention obligations;

Restriction and Objection: You may object to the processing of your data or ask us to restrict how we use it;

Withdrawal of Consent: Where processing is based on your consent, you may withdraw it at any time without affecting the lawfulness of processing based on consent before its withdrawal.

We strive to provide reliable and high-quality services but cannot guarantee that all features will meet your specific needs.

Nothing in this section limits or excludes our obligations under applicable data protection legislation, including the GDPR, or any other liability that cannot be limited or excluded under applicable law.


9. Limitation of Liability

To the maximum extent permitted by law, Scopture and its affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from:

  1. Your use of or inability to use Scopture;
  2. Errors or inaccuracies in the software;
  3. Loss of data, revenue, or business opportunities.

Our liability is limited to the amount paid by you for the services during the 12 months preceding the claim.

Nothing in these Terms limits our liability for: (a) obligations under applicable data protection legislation, including the GDPR; or (b) any other liability that cannot be limited or excluded under applicable law.


10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Portugal. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Portugal.


11. Entire Agreement

These Terms of Service constitute the entire agreement between you and Scopture (Ducflair) regarding your use of the services. They supersede all prior agreements, communications, and understandings, whether written or oral.


12. Changes to the Terms of Service

Scopture may update these Terms to reflect changes to the service, applicable law, security requirements, or operational practices.

The updated Terms will be published on our website with their effective date. Where a change materially affects your rights or use of the service, we will provide reasonable advance notice by email or through a prominent notice on the platform before the change takes effect.

Where required by applicable consumer law, you may terminate your account or subscription without charge within the applicable period if you do not accept a material change. If a change requires your express consent under applicable law, we will request that consent before applying it.
